1 Scope of Services

AudioTranscription.io provides AI-powered speech recognition services that allow users to upload audio and video files and receive automatically generated text transcripts, including timestamped subtitles, speaker identification, and multi-language support (the "Services"). Our Services include the website at audiotranscription.io and all associated tools, APIs, plugins, and features.

Service Availability

We strive to maintain continuous access to our Services but do not guarantee uninterrupted operation. We may suspend, modify, or discontinue any aspect of the Services at our discretion with reasonable notice. Temporary outages may occur due to maintenance, infrastructure issues, or factors beyond our control.

Service Limitations

The Services use artificial intelligence and machine learning models to generate transcriptions. While we continually improve our models, transcription accuracy depends on various factors including audio quality, background noise, speaker accents, multiple overlapping speakers, and technical limitations inherent in speech recognition technology.

2 Account Registration and Eligibility

Eligibility

To use our Services, you must be at least 13 years of age, or the age of majority in your jurisdiction, whichever is greater. By creating an account, you represent and warrant that you meet these eligibility requirements and that all registration information you provide is accurate, current, and complete.

Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

One Account Per User

Unless explicitly authorized by us, you may only maintain one account. Creating multiple accounts to circumvent free usage limits, promotional offers, or credit limits is prohibited and may result in suspension or termination of all associated accounts.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion if we believe that your use violates these Terms or applicable law.

3 User Content and Acceptable Use

User Content

"User Content" means any audio files, video files, text, data, or other materials you upload, submit, or transmit to our Services. You retain all ownership rights to your User Content. By uploading User Content, you grant us a limited, non-exclusive, worldwide license to process, store, and transcribe your User Content solely for the purpose of providing the Services to you.

Prohibited Content

You agree not to upload, transmit, or process any User Content that:

• Violates any applicable law, regulation, or third-party rights
• Is unlawful, harmful, threatening, abusive, defamatory, or obscene
• Infringes upon any patent, trademark, trade secret, copyright, or other intellectual property right of any party
• Contains malware, viruses, spyware, or any code designed to disrupt the Services
• Involves hate speech, harassment, or discrimination based on race, religion, gender, sexual orientation, or other protected characteristics
• Records conversations without proper consent from all parties as required by applicable laws

Prohibited Activities

You agree not to:

• Use the Services for any illegal purpose or in violation of any applicable laws or regulations
• Attempt to reverse engineer, decompile, or extract the source code of our AI transcription models
• Bypass usage limits, re-upload transcripts as proxy uploads, or manipulate the credit system
• Use automated means (bots, scrapers, scripts) to access or interact with the Services without prior written authorization
• Interfere with or disrupt the integrity, performance, or security of the Services
• Resell, redistribute, or sublicense the Services or access to the Services without our written consent
• Use the Services to develop competing products or services

4 Intellectual Property

Our Intellectual Property

The Services, including all underlying technology, AI models, algorithms, software code, website design, graphics, logos, trademarks, and trade names (collectively, "Our IP"), are owned by or licensed to AudioTranscription.io and are protected by applicable intellectual property laws. These Terms do not transfer any ownership rights in Our IP to you. You may not copy, modify, distribute, sell, or create derivative works based on Our IP without our express written consent.

Your Intellectual Property

You retain all rights, title, and interest in and to your User Content. We claim no ownership over your audio files, generated transcripts, subtitles, or any other output produced by processing your User Content through the Services. You are solely responsible for ensuring you have all necessary rights, licenses, and permissions to upload and use your User Content.

Feedback

If you provide us with feedback, suggestions, or ideas about the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use such Feedback for any purpose, including improving our Services, without any obligation to compensate you.

5 Free and Paid Services, Credits, and Subscriptions

Free Tier

We offer a free usage tier with limited daily transcription credits that allows guest users (without account registration) to test our Services. Limitations apply to the number of files, total duration, file size, and features available. These limits are subject to change at our discretion, and we reserve the right to modify or terminate the free tier offering at any time.

Credits

Certain Services require credits for use. Credits may be provided as part of a free tier, earned through promotions, or purchased. Key terms regarding credits:

• Credit Expiration: Free credits may expire after a set period or reset at specified intervals. Purchased credits ("Paid Credits") do not expire unless otherwise stated at the time of purchase.
• Credit Consumption: Transcription tasks consume credits based on factors including audio file duration, language complexity, speaker identification features, and processing resolution. Credit consumption rates may vary and are subject to change.
• No Transferability: Credits are non-transferable between accounts unless expressly permitted by us in writing.
• No Refunds for Used Credits: Credits consumed or partially used are non-refundable unless required by applicable law.

Subscriptions

We offer recurring subscription plans that provide benefits including increased or unlimited transcription credits, advanced features, and enhanced usage limits. Key terms regarding subscriptions:

• Billing Cycle: Subscriptions are billed in advance on a recurring basis (monthly or annually) as selected at the time of purchase. Your subscription will automatically renew at the end of each billing cycle at the then-current rate unless cancelled.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle; you retain access to paid features until that date. No prorated refunds are provided for partial billing periods.
• Price Changes: We reserve the right to modify subscription pricing. We will notify you of price changes in advance, and changes will take effect at the start of your next billing cycle.

Payment Terms

All payments are processed through secure third-party payment processors. By making a purchase, you agree to provide accurate payment information and authorize us or our payment processors to charge the applicable fees. You are responsible for any applicable taxes associated with your purchase.

Refund Policy

We stand behind the quality of our Services and want you to have a positive experience. However, due to the digital nature of our Services and the immediate consumption of credits upon transcription processing, our refund policy is limited to the specific circumstances outlined below.

Eligibility for Refunds

Refunds may be considered only under the following conditions, all of which must be met:

• Service Unavailability: You have experienced a verifiable loss due to a confirmed outage or critical malfunction of our website that prevented you from using the Services as intended. This does not include issues caused by your own internet connection, device, browser, or third-party services (such as payment processors, authentication providers, or file storage platforms).
• Unused Credits: The credits or subscription benefits for which you are requesting a refund must be completely unused. Any credits that have been consumed (partially or fully) for transcription processing are non-refundable, as the computational resources have already been expended on your behalf.
• Timely Request: Your refund request must be submitted within fourteen (14) days of the incident or purchase date, whichever is earlier.

How to Request a Refund

To initiate a refund request, please email our support team at [email protected] with the following information:

• Your registered email address and account details
• The date and amount of the purchase in question
• A detailed description of the Service unavailability issue you encountered, including dates, times, and any error messages received
• Screenshots or other evidence of the issue, if available

We will review your request and respond within five (5) business days. Approved refunds will be processed to your original payment method. Processing times may vary depending on your payment provider. We reserve the right to deny refund requests that do not meet the eligibility criteria or that we determine, in our sole discretion, to be fraudulent or abusive.

6 Third-Party Services and Links

Our Services may integrate with or link to third-party websites, applications, APIs, or services (including but not limited to Google authentication, YouTube data services, and third-party file transfer platforms) that are not owned or controlled by AudioTranscription.io. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

By using features that interact with third-party services (such as Google Sign-In for account creation or YouTube URL-based transcription), you also agree to the applicable third-party terms of service and privacy policies. We strongly encourage you to review the terms and policies of any third-party services you interact with.

You acknowledge and agree that AudioTranscription.io shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, goods, or services.

7 Termination

Termination by You

You may stop using our Services at any time. You may delete your account through your account settings or by contacting us. Upon account deletion, your User Content and personal information will be handled in accordance with our Privacy Policy. Please note that account deletion does not automatically cancel active subscriptions; you must separately cancel your subscription to avoid future charges.

Termination by Us

We reserve the right to suspend or terminate your access to the Services, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms or our Acceptable Use Policy
• Abusive, fraudulent, or illegal behavior
• Extended periods of account inactivity
• Requests by law enforcement or other government agencies
• Discontinuation or material modification of the Services
• Non-payment or payment disputes

Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may retain certain information as required by law or for legitimate business purposes as described in our Privacy Policy. Any provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and indemnification) shall survive.

8 Disclaimers and Accuracy of Transcriptions

Service Provided "As Is"

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUDIOTRANSCRIPTION.IO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

No Guarantee of Accuracy

Our AI transcription Services produce automated speech-to-text output based on machine learning models. These outputs are inherently probabilistic and may contain errors, omissions, mistranslations, incorrect speaker identifications, misaligned timestamps, or other inaccuracies. We do not guarantee that transcriptions will be error-free, complete, or fit for any specific purpose. You acknowledge that AI-generated transcriptions should be reviewed and verified before use in contexts where accuracy is critical, including legal proceedings, medical documentation, journalism, academic research, or business records.

We do not warrant that the Services will meet your specific requirements, be uninterrupted, timely, secure, or error-free. You use the Services and rely on transcription outputs at your own risk.

Technical Limitations

Without limiting the foregoing, we make no representations or warranties regarding the continued availability of any specific features, the processing speed of transcription tasks, or the maximum file sizes and durations supported by the Services at any given time.

9 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUDIOTRANSCRIPTION.IO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, use, or goodwill
• Cost of procurement of substitute services
• Damages resulting from inaccurate, incomplete, or misinterpreted transcriptions
• Unauthorized access to or alteration of your transmissions or content
• Errors, mistakes, omissions, or interruptions in the Services
• Any other damages arising from your use of or inability to use the Services

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Liability Cap

IN ANY EVENT, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (USD $50).

10 Indemnification

You agree to defend, indemnify, and hold harmless AudioTranscription.io, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including intellectual property, privacy, or publicity rights
• Your User Content, including any claim that your User Content caused damage to a third party
• Your violation of any applicable law, rule, or regulation

This indemnification obligation will survive the termination of these Terms and your use of the Services. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

11 Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Dispute Resolution

We encourage you to contact us directly to resolve any disputes informally before pursuing formal legal action. If a dispute cannot be resolved informally, you and AudioTranscription.io agree to first attempt to resolve the dispute through binding arbitration administered by a mutually agreed arbitration provider, rather than through litigation in court.

Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property rights, unauthorized use of the Services, or data security breaches.

Class Action Waiver

To the fullest extent permitted by applicable law, you and AudioTranscription.io agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. Claims of more than one person may not be consolidated without the written consent of all parties.

12 Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Services and may terminate your account. We recommend reviewing these Terms periodically for any changes.
